General Terms & Conditions
These terms govern the contractual relationship between Alexandre de Sousa Bally (Small Scale, Herbstgasse 6, 4056 Basel) and clients.
Scope
Only these terms and the individually agreed engagement letter apply. Diverging terms of the client become part of the contract only with express written consent.
Services
The scope of consulting services follows from the respective engagement letter. Services are rendered with the diligence of a careful consultant. No specific economic outcome is owed.
Fees and expenses
Fees are invoiced as set out in the engagement letter. Out-of-pocket expenses (travel, third-party services) are recharged against receipts. Payment term: net 30 days.
Confidentiality
Both parties treat all information obtained during the engagement as confidential. The confidentiality obligation survives the contract.
Liability
Liability is limited to intent and gross negligence. Liability for indirect damages, lost profits or consequential damages is excluded to the extent permitted by law.
Applicable law and jurisdiction
Swiss law applies, excluding the UN Convention on the International Sale of Goods. Exclusive place of jurisdiction is Basel, Switzerland.
